Recursion Enters into Agreements to Acquire Cyclica and Valence to Bolster Chemistry and Generative AI Capabilities

Terms of the Acquisitions

Recursion has entered into agreements to acquire Cyclica for a purchase price of $40 million and Valence for a purchase price of $47.5 million, in each case subject to customary closing and post-closing purchase price adjustments. The purchase price in the acquisitions will be payable in the form of shares of Recursion Class A common stock, shares of a subsidiary of Recursion exchangeable for shares of Recursion’s Class A common stock and the assumption of certain outstanding Valence and Cyclica options. In certain limited circumstances, Recursion may pay nominal cash consideration to Valence and Cyclica shareholders in lieu of such exchangeable shares or Recursion Class A common stock. Recursion expects no material change to its cash runway as a result of these acquisitions. Recursion expects both acquisitions to be completed in the second quarter of 2023, subject to applicable closing conditions.

ROPME marks Regional Environment Day

The Regional Organization for Protection of Marine Environment (ROPME) on Monday celebrated the Regional Environment Day, coinciding with the 1978 treaty according to which the organization was founded.

ROPME’s Acting Director General Samira Al-Kanderi, in a statement on behalf of the Deputy Prime Minister, Minister of Oil and Minister of State for National Assembly Affairs Bader Al-Mulla, underscored the need to educate the youth namely the students about negative impact of green-house emissions.

The organization groups the six GCC member states plus Iran and Iraq.

The green house emissions and climatic change have become a global concern, Al-Kandari affirmed during a ceremony marking the occasion. She also noted that ROPME’s logo for the occasion is, “Dust storms and their Effects on the Land and Marine Ecosystems.” Kuwait’s territory is largely arid and the country often witnesses raging dust storms that sometimes leave damage.

Al-Kandari added that ROPME exchanges information and expertise with authorities of the regional countries on means of protecting the environment particularly the marine ecosystem.

Meanwhile, ROPME Executive General Secretary Dr. Jassem Al-Bechara indicated in a statement during the ceremony that an affiliate photo exhibition also organized on the Regional Environment Day — intended to promote environment awareness among students.

The organization has allocated an annual award to honor winners of a competition for the students. Latest competition involved students who presented 500 paintings and some 90 articles, Bechara added.

EU approves appointment of Special Representative for GCC next week

The European Union (EU) Council of Ministers is expected to approve the appointment of the first EU special representative for the GCC next Monday on May 15, EU sources told KUNA Monday. The Council represents the 27 EU governments.

EU ambassadors are expected to give their green light to the appointment during their meeting on Wednesday, May 10, said the sources requesting anonymity.

The EU’s Political and Security Committee already proceeded with the ratification of the appointment without any discussion on April 27.

EU High Representative Josep Borrell last month proposed former Italian Foreign Minister Luigi Di Maio to be the first EU Special Representative for the Gulf. He is expected to take up his new post on June first for 21 months.
